Terms of Service

These terms govern your use of Project Factory, a service of Hanover Tech LLC ("we", "us").
1. What we provide
Project Factory plans, builds, verifies, hosts, and helps launch web applications and installable progressive web apps. We operate the platform, the generation system, the deployment infrastructure, the reusable modules, and the monitoring.
2. What you keep
You own your brand, your content, your business data, your relationships with your end users, your domain registration, your social and developer accounts, and your payment account. Project-specific generated code is yours to export, subject to third-party licences and our licence for reusable components. Nothing in these terms transfers ownership of your material to us.
3. Eligibility
You must be at least 18 and able to enter a contract. You must not be located in, or ordinarily resident in, a jurisdiction subject to comprehensive trade sanctions. Your project must fall within the categories we accept, described in the Acceptable Use Policy.
4. How a project proceeds
You answer a structured set of questions. We produce a specification. Work begins only after you approve that specification, the price, the recurring provider charges, and your own responsibilities. We may decline a project, or stop work on one, if it falls outside what we accept.
5. Your responsibilities
You are responsible for creating your own accounts with third-party services where those services require you to accept their terms or verify your identity; for registering and renewing any custom domain; for the accuracy and lawfulness of the content and claims in your application; for paying the charges you approved; for confirming the end-user Terms and Privacy Policy generated for your project; and for responding to your end users' requests.
6. Fees
Build fees are payable on the schedule shown in your approved specification. Recurring fees are billed monthly in advance. Third-party charges that settle to your own accounts — payment processing fees, domain registration — are yours directly and are not collected by us.
7. Hosting, suspension, and termination
We host your project by default. We may suspend a project immediately where it presents a security risk, is subject to a credible legal demand, violates the Acceptable Use Policy, or has unpaid fees more than 30 days overdue. We will tell you why, and what would resolve it.
You may terminate at any time. On termination we provide an export of your source, data, and configuration, and instructions for taking over each provisioned resource. We retain billing records and audit logs for as long as legal and tax record-keeping requires; we delete the rest.
8. Availability
We aim for high availability and monitor continuously, but we do not guarantee uninterrupted service. Where a defect in what we built causes an outage, we fix it at our cost. Outages caused by a third-party provider are handled as fast as that provider allows.
9. Intellectual property
We license you the reusable platform components embedded in your project for use within that project, perpetually and non-exclusively. We retain ownership of the components themselves and of the platform. You license us to use your content only as needed to build, host, and operate your project.
10. Liability
To the extent the law allows, our total liability arising from your project is limited to the fees you paid us for that project in the twelve months before the claim. We are not liable for lost profits or indirect losses. Nothing here limits liability that cannot lawfully be limited.
11. Changes
We may change these terms. Material changes take effect 30 days after we notify you, and continuing to use the service after that is acceptance. Changes that reduce your rights do not apply retroactively to work already approved.
12. Governing law
These terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-laws rules.
